This role will be responsible for overseeing and managing all aspects of contract drafting, negotiation, and review processes with a focus on data security and compliance. You’re The candidate’s primary focus will be ensuring the company's contractual obligations are met while minimizing legal risks and promoting favorable terms and conditions.
Responsibilities:
- Review, draft, and negotiate data security and privacy terms in a variety of contracts, including but not limited to vendor agreements, customer contracts, service-level agreements (SLAs), non-disclosure agreements (NDAs), and licensing agreements.
- Analyze contractual terms and conditions, identifying potential risks, and making recommendations for mitigation strategies.
- Collaborate with internal stakeholders, including Information Security, Data Privacy, Compliance, Risk, Procurement, and business teams to ensure contracts align with business objectives and legal requirements.
- Work closely with external parties, such as vendors, clients, and legal counsel, to negotiate and finalize contract terms and resolve any disputes or issues that may arise.
- Ensure compliance with relevant laws, regulations, and company policies throughout the contract lifecycle, in particular adherence with data security and privacy laws such as GDPR, CCPA/CPRA, LGPD, etc.
- Maintain an organized contract management system, including contract templates, databases, and records, to facilitate efficient contract administration.
- Provide guidance and support to internal teams regarding contract interpretation, rights, and obligations, and implementation of security controls.
- Conduct research to stay updated on security and privacy standards and industry best practices related to contract management.
- Develop and deliver training programs on contract-related matters to enhance the understanding of contract principles within the organization.
- Assist in the development and improvement of contract management processes and policies to enhance efficiency and minimize security risks.
Qualifications:
- Bachelor's degree in law or a related field. Juris Doctor (J.D.) degree is preferred.
- 3+ years of experience as a Legal Specialist, Contract Manager, or similar role, with a focus on contract drafting, negotiation, and review of security and privacy terms.
- Strong understanding of contract law principles, contract interpretation, and contract management best practices.
- Demonstrated experience in reviewing and negotiating complex contracts, preferably in a corporate or legal setting.
- Excellent drafting and communication skills, with the ability to articulate legal security concepts in a clear and concise manner.
- Detail-oriented with exceptional analytical and problem-solving abilities.
- Ability to prioritize and manage multiple tasks in a fast-paced environment.
- Proficiency in contract management software and tools.
- Strong negotiation skills and the ability to build effective relationships with internal and external stakeholders.
- Familiarity with relevant industry regulations and standards.
